Call for Nominations for Member of FOK Board of Directors:
Friends of Kern, Inc. is currently seeking nominations for openings on the
Board of Directors to be filled at the next FOK Annual Meeting in March, 2007.
We are looking for individuals with a passion and commitment to
the goals of our organization, which include building and maintaining our
network of friends and alumni, preserving and presenting Kern historical
materials, and developing resources to support and perpetuate the camp
experience and the work of Carl B. Kern. Incoming Board Members will serve
a term of three years.
Functions and Responsibilities of the FOK Board of Directors:
Members of the FOK Board of Directors are responsible for determining the organization's
mission and purpose; selecting and hiring the Executive Director; supporting
the Executive Director and assessing his/her performance; ensuring organizational planning;
ensuring adequate resources; managing resources effectively; determining, monitoring and
strengthening the organization's programs and services; enhancing the organization's
public standing; ensuring legal and ethical integrity and maintaining accountability,
and recruiting and orienting new board members and assessing board performance.*
Legal Responsibilities of a Member of the FOK Board of Directors
As a member of a Board of Directors there are three legal standards to which all board
members in for-profit and not-for-profit boards are held: Duty of Care, Duty of Loyalty
and Duty of Obedience. Essentially, he/she must care for the rights and needs of members
and ensure that the mission of the organization is followed, as well as to exercise
fiduciary responsibility. He/she is responsible for managing any conflicts of interests
within the organization and public policy within the forums of the board and committee meetings.
Once a vote is taken, he/she must support the decision of the board, as if he/she made it,
whether he/she agrees with it or not. It is critical that the board speaks with one voice.
He/she must maintain confidentiality of the organization's decision making activities when they
are not a matter of public record. He/she is required to follow the organization's bylaws and
code of ethics, as well as laws.
Qualifications of Nominee and Nominating Individual
Both the nominee and the individual making
the nomination need to come from the voting membership. However, an individual who is interested in
making a nomination and/or serving as a member of the Board of Directors
can become an FOK voting member to be qualified.
(The individual voting membership contribution is a minimum of US $10.) The nominee must agree to the nomination
before his/her name is submitted. A
current list
of the FOK membership is available online.
Procedure:
Any voting member of Friends of Kern, Inc. in good standing may nominate himself/herself or
another voting member of Friends of Kern, Inc. The following information is required about each
nominee:
- Name of Nominee
- Name of Nominating Individual (if different from nominee)
- Statement from Nominee, including Brief Bio and Vision for FOK
Completed nominations must reach the Friends of Kern office via regular mail, fax, or email by
March 1st, 2007. At that time the complete list of nominees will be forwarded to the
current FOK Board which will select a slate of candidates for election.
